These terms govern your use of TalkRev's cloud-based reservation and capacity-management platform designed for attractions and appointment-based businesses.

1. Acceptance of Terms
1.1 Agreement
- By using TalkRev, you acknowledge that you have read, understood, and agree to these Terms of Use
- You accept any additional terms and conditions referenced herein or made available through the platform
- Your use of the platform constitutes acceptance of all applicable terms
- You agree to comply with all policies and guidelines associated with TalkRev
1.2 Eligibility
- You must be authorized to represent an attraction or appointment-based business (the 'Business')
- You must have legal authority to agree to these Terms of Use on behalf of the Business
- If you do not have such authority or disagree with these terms, you cannot use TalkRev
- You represent that you are legally capable of entering into binding agreements
1.3 Modification
- TalkRev reserves the right to modify or update these Terms of Use at any time, without prior notice
- It is your responsibility to review these terms periodically for any changes
- Continued use of the platform after modifications constitutes acceptance of revised Terms
- Material changes will be communicated through appropriate channels when possible
2. Use of TalkRev
2.1 License
- TalkRev grants the Business a limited, non-exclusive, non-transferable, revocable license to use the platform
- License is for managing reservations, capacity, and customer engagement purposes only
- License is granted solely for the Business and may not be sublicensed, assigned, or transferred
- Prior written consent from TalkRev is required for any transfer of license rights
2.2 Account Registration
- You must create an account to access and use TalkRev's features
- You are responsible for maintaining confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You agree to provide accurate and complete information during registration and keep it updated
2.3 Business Responsibilities
- Publish accurate and relevant information about your Business, including availability, pricing, and promotions
- Comply with all applicable laws, regulations, and industry standards
- Be solely responsible for any content you publish or share through the platform
- Treat users and their personal information in compliance with applicable privacy laws
- Maintain the security and confidentiality of your account information and access credentials
2.4 Prohibited Activities
- Violate any applicable laws, regulations, or third-party rights
- Use the platform for any unauthorized or unlawful purposes
- Interfere with or disrupt the functionality of the platform or its servers
- Engage in any fraudulent or deceptive activities
- Collect or harvest any information from users without their consent
- Transmit or upload any viruses, malware, or harmful code
- Engage in activities that may compromise the security or integrity of the platform
3. Push Notifications & Alerts
3.1 Availability Alerts
- TalkRev provides features for broadcasting 'last-minute availability' alerts via email, SMS, or push notifications
- Content, timing, and frequency of these alerts are within your control as the Business
- You are responsible for ensuring notification content complies with all applicable laws and regulations
- Alerts can be sent for reservations or timed entries based on your business needs
3.2 User Consent
- End-users have the option to subscribe or unsubscribe from receiving notifications from Businesses
- You agree to respect users' preferences and honor their communication decisions
- Users maintain control over what types of notifications they receive
- You must provide clear opt-out mechanisms for all marketing communications
4. Excess-Capacity Marketplace
4.1 Unsold Inventory
- TalkRev provides a marketplace for Businesses to offer and sell unsold slots (table reservations, appointments, timed tickets)
- You are solely responsible for managing and maintaining accurate availability and pricing information
- Prices are operator-defined and dynamic, allowing you full control over your inventory pricing
- You maintain ownership and control of your available capacity and pricing strategies
4.2 Transaction Processing
- TalkRev may provide transaction processing services for bookings made through the platform
- The Business authorizes TalkRev to act as a limited agent to facilitate transaction processing
- The Business is responsible for any fees or charges associated with transaction processing services
- Transaction processing terms may be subject to additional agreements with payment processors
4.3 Customer Communications
- The Business agrees to promptly communicate with customers regarding bookings and cancellations
- You must communicate any changes to reservations made through the TalkRev platform
- The Business should provide accurate and reliable customer service for positive user experience
- Timely response to customer inquiries and issues is essential for platform reputation
5. Business Content & AI Knowledge Base
5.1 Ownership
- As a Business, you retain ownership of the content you publish through TalkRev
- By publishing content, including AI Knowledge Base information (FAQ content), you grant TalkRev a license
- License is non-exclusive, royalty-free, worldwide to use, display, reproduce, modify, and distribute content
- License allows TalkRev to operate and improve the platform and its services using your content
5.2 Content Guidelines
- You agree not to publish content that is unlawful, defamatory, offensive, infringing, or objectionable
- TalkRev reserves the right to remove or modify any content that violates these guidelines
- Content removal may occur for any other reason deemed necessary for platform integrity
- You are responsible for ensuring all published content complies with applicable laws
6. Intellectual Property Rights
6.1 Ownership
- TalkRev and its licensors retain all intellectual property rights in the platform
- This includes but is not limited to trademarks, logos, graphics, and software
- These Terms of Use do not grant you rights or licenses to use TalkRev's intellectual property
- Usage rights are limited to those expressly permitted in these terms
7. Limitation of Liability
7.1 Disclaimer
- TalkRev provides the platform and services on an 'as is' and 'as available' basis
- No warranties or representations are provided, either express or implied
- We do not guarantee accuracy, reliability, or completeness of content or information
- Platform availability and functionality may vary and are not guaranteed
7.2 Indemnification
- You agree to indemnify, defend, and hold TalkRev and its affiliates harmless
- Indemnification covers claims, damages, losses, liabilities, and expenses
- Coverage includes issues arising from your use of the platform or violation of these Terms
- You are responsible for legal costs and damages resulting from your platform usage
7.3 Limitation of Liability
- To the maximum extent permitted by law, TalkRev and affiliates shall not be liable
- Liability limitation covers direct, indirect, incidental, consequential, or special damages
- Limitation applies to platform use or user interactions, even if advised of possibility of damages
- Some jurisdictions may not allow certain liability limitations
8. Account Deletion
Deletion Process
- Users have the right to delete their Business account at any time
- Account deletion is available provided there are no upcoming bookings associated with the account
- To request account deletion, please contact info@talkrev.ai
- Deletion requests will be processed according to our data retention policies
9. Termination
Deletion Process
- TalkRev reserves the right to suspend or terminate your Business's access to the platform at any time
- Termination may occur without prior notice for any reason deemed necessary
- Reasons include but are not limited to breach of these Terms of Use
- Illegal or unauthorized use of the platform may result in immediate termination
10. Governing Law
Legal Jurisdiction
- These Terms of Use shall be governed by and construed in accordance with the laws of the State of California, USA
- Any disputes arising from these Terms or use of TalkRev shall be subject to California courts' exclusive jurisdiction
- Courts located in the State of California will have jurisdiction over any legal proceedings
- You consent to the personal jurisdiction of California state courts for dispute resolution
